My LOI states" if tenant fails to sign TA after the terms & conditions are already agreed, goodfaith deposit shall forfeit by the landlord" . if tenant didn't agree to the initial agreed 1 occupier as stated in the LOI and wanted to include 4 more occupiers in the TA, can landlord reject and forfeit the good faith deposit if tenant refuse to sign the TA which is drafted according to the LOI which initially states only 1 occupier?

Speak to a legal adviser who will go through the terms and conditions in the LOI in details and can advise proper from legal perspective so you can decide if you should retain the goodfaith deposit or not. Alternatively, check with the salesperson who brokered this transaction for you if LOI is prepared by him or her.

Such conflict is common, you need to patient talk to landlord since he or she agreed 1 occupier only. If you wanna to increase the nos of occupier, you need to seek for the landlord approval. Or else the TA will be void since you have breach the TA by increase the nos of occupiers.
